Jessica Bass and Jessie Mark acted for a minority shareholder in bringing an unfair prejudice petition in the Companies Court of the High Court against the majority shareholders. It was thought that the Respondents were diverting the business away to a competing company, to drive down the share value at the expense of the Petitioner, and there had been a number of failings under the Companies Act 2006, including a failure to disclose accounts to the Petitioner and to pay dividends. Curzon Green were able to secure a costs judgment against the Respondents early on due to unreasonable behaviour in the proceedings. The Team continued to apply the pressure in the lead up to the Costs and Case Management Hearing, despite the Respondent’s lack of disclosure and failure to engage. The claim successfully settled with the Respondent required to buy back the shares at their estimated market value and reimburse the legal costs incurred by the Petitioner.
